1. Overview
These Terms of Service (the "Terms") govern your access to and use of SupAI, including Scout, Find Your AI, Find Your Course, Build Your Business, any related sites, dashboards and APIs, and any other products or services that link to these Terms (together, the "Services").
By creating an account, purchasing a plan, using a free tier, or otherwise accessing the Services, you agree to be bound by these Terms and by any policies referenced here, including our Privacy Policy. If you do not agree, you must not use the Services.
1.1. Relationship to Other Terms
Some parts of the Services route requests to third party providers such as Groq, Google Gemini and any other partners we may integrate from time to time. Those providers may require you to accept additional terms. Where there is a conflict between those third party terms and these Terms, the third party terms will govern with respect to their services, and these Terms will govern with respect to SupAI and the Services we control.
2. Eligibility, Accounts and Security
- You must be at least 16 years old to use the Services. If you are between 16 and 18, you confirm that you have consent from a parent or legal guardian where required by law.
- If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity and that "you" in these Terms includes that entity.
- You must provide accurate and up to date registration information and keep it updated, including contact and billing information.
- You are responsible for maintaining the confidentiality and security of your login credentials, API keys, tokens and devices. You are responsible for all activity that occurs under your account unless you promptly notify us of suspected misuse.
- We may refuse registration, suspend accounts or restrict access if we reasonably believe that you have violated these Terms, applicable law, or that your use creates risk for SupAI, other users or third parties.
3. Use of the Services and AI Limitations
SupAI orchestrates large language models and other AI tools provided by us and by third parties. Outputs are generated automatically based on your prompts and other inputs.
- AI outputs may be inaccurate, incomplete, misleading or outdated. They may reflect biases or errors present in training data or model behavior.
- You must review, verify and exercise independent judgment before relying on any output, particularly in medical, legal, financial, safety critical or other sensitive contexts.
- Nothing in the Services constitutes professional advice. The Services are provided for general informational and productivity purposes only.
- You must not present outputs as advice from qualified professionals unless a separate, independent professional has reviewed and approved them.
- We may change, remove, limit or add features or models at any time in order to maintain security, manage costs, comply with law or improve the Services.
3.1. Beta and Experimental Features
- From time to time, we may offer experimental or beta features, models or integrations ("Beta Features").
- Beta Features are provided solely for testing and feedback, may be available only to limited users, and may be discontinued or materially changed without notice.
- Beta Features may be less reliable than other parts of the Services and you use them at your own risk.
4. Plans, Credits and Billing
- Some parts of the Services are free, while others require payment through subscriptions, pay as you go credits or other pricing models shown in the dashboard or at checkout.
- Credits or "waypoints" (or similar units) represent a right to request processing through the Services, not stored monetary value or a deposit. They are not redeemable for cash or transferable except as we explicitly allow.
- Credits may expire or reset based on plan rules, billing cycles, quota windows and fair use limits published for your plan. We may adjust limits to protect the stability of the Services.
- Subscriptions renew automatically at the end of each billing cycle unless you cancel in the dashboard or through the method specified at purchase. Cancellation stops future renewals but does not automatically generate refunds.
- You authorize us and our payment processors to charge your chosen payment method for all applicable fees, taxes and charges when due.
- You are responsible for any currency conversion fees, bank charges, and other costs charged by your financial institution or payment provider.
- Refunds, if any, follow the policy presented at the time of purchase and any mandatory rights under your local consumer law.
- We may offer promotional codes, trial periods or discounts. These are subject to additional terms, may be revoked if misused, and do not create any entitlement to future discounts.
5. Acceptable Use and Prohibited Conduct
You must comply with all applicable laws and these Terms when using the Services. You agree that you will not, and will not permit others to:
- Use the Services for any unlawful, harmful, fraudulent, misleading, defamatory, obscene or abusive activity.
- Generate or distribute content that promotes violence, terrorism, exploitation, child sexual abuse, self harm, discrimination or harassment of individuals or groups.
- Collect, process or submit personal data of others without a lawful basis, valid consent where required, and any other necessary permissions.
- Attempt to reidentify individuals from anonymized data or to deanonymize outputs.
- Interfere with the normal operation of the Services, including by overloading, attacking, probing, scanning or testing the security or vulnerability of any system or network.
- Bypass, disable or attempt to circumvent any technical, usage or rate limiting protections, paywalls, authentication, access control or logging implemented by SupAI or its providers.
- Scrape, crawl, harvest or index the Services or outputs in bulk, except through documented APIs and within allowed limits.
- Reverse engineer, decompile or attempt to extract source code, model weights or underlying datasets from the Services or from third party providers.
- Use the Services to develop or train models or systems which compete with SupAI or with the third party models we route to, except where we expressly permit this.
- Use the Services for high risk activities where failure could lead to death, personal injury, severe property or environmental damage, except where explicitly allowed and only with appropriate safeguards.
- Misrepresent AI generated content as being entirely human generated, where disclosure is required by law or applicable platform rules.
6. Your Content and License to SupAI
"Content" means any text, files, prompts, messages, data, images, code, URLs or other material you submit to or through the Services, as well as outputs generated for you.
- Subject to third party rights and applicable law, as between you and SupAI you retain ownership of your inputs and of the outputs generated specifically for you.
- You are solely responsible for your Content and for ensuring that you have all rights, permissions and lawful bases needed to submit it and to use resulting outputs.
- You represent that your Content does not infringe the rights of others, including privacy, publicity, intellectual property and contract rights, and that it complies with these Terms and applicable law.
- You grant SupAI a worldwide, non exclusive, royalty free license to host, copy, use, process, transmit and display your Content as reasonably needed to:
- Provide, maintain and improve the Services and related features.
- Secure the Services, prevent abuse, detect fraud and enforce these Terms.
- Comply with legal obligations, lawful requests and regulatory requirements.
- We may use aggregated, anonymized or de identified data derived from your use of the Services for analytics, product improvement and research, provided that it does not reasonably identify you.
7. Privacy and Data Protection
Our Privacy Policy describes how we collect, use and share personal data. By using the Services, you agree that SupAI may process personal data in accordance with that policy and applicable data protection laws.
- If you are a business user providing us with personal data of others, you are responsible for having a valid legal basis and for providing any required notices.
- Where required by law, we may offer region specific terms or data processing agreements for business users. Those terms, if applicable, will supplement these Terms.
- You must not use the Services to process special categories of personal data such as health information, biometric identifiers or government issued identification numbers unless both the law and any applicable data processing agreement clearly allow it.
8. Third Party Services, Links and Affiliates
- The Services route requests to third party AI providers and may integrate payment processors, analytics services and other external tools. We do not control and are not responsible for their content, availability or practices.
- Your use of third party services is subject to their separate terms and privacy policies. You are responsible for reviewing those terms.
- The Services may display links to third party sites, tools, courses or products, including affiliate links. We may earn a commission when you sign up or purchase through those links, at no additional cost to you.
- We do not guarantee the quality, availability or suitability of any third party service and are not liable for issues arising from your use of them.
9. Intellectual Property and License to You
- The Services, including all software, interfaces, designs, logos, compilation of data, content created by us and underlying technology, are owned by SupAI or its licensors and are protected by intellectual property laws.
- Subject to your compliance with these Terms, we grant you a limited, revocable, non exclusive, non transferable license to access and use the Services for your own internal purposes and in accordance with any plan limits.
- Except where expressly allowed by law or by written permission from us, you must not copy, modify, distribute, sell, lease, sublicense or create derivative works from any part of the Services.
- You must not remove or obscure any copyright, trademark or other proprietary notices displayed in the Services.
10. Service Availability, Changes and Support
- We aim to keep the Services available and performant, but we do not guarantee continuous, uninterrupted or error free operation.
- The Services may be unavailable or degraded due to maintenance, capacity limits, failures of third party providers, security events or factors beyond our reasonable control.
- We may modify, suspend or discontinue any part of the Services, including free plans and Beta Features, at any time. Where the change materially affects paid users, we will take reasonable steps to notify you in advance when practical.
- Unless we state otherwise in a specific plan, support is provided on a reasonable efforts basis via the channels indicated in the dashboard or on the site.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. SupAI and its owners, directors, employees, contractors and partners make no warranties or representations of any kind, whether express, implied or statutory, including but not limited to:
- Warranties of accuracy, reliability or completeness of any outputs or content.
- Warranties of merchantability, fitness for a particular purpose or non infringement.
- Warranties that the Services will be uninterrupted, secure, error free or free from harmful code.
You are solely responsible for your use of the Services, for any content you create or decisions you make based on outputs, and for implementing appropriate security, backup and verification measures in your own systems.
Nothing in these Terms is intended to exclude or limit any warranty or liability that cannot be excluded or limited under applicable law.
12. Limitation of Liability
To the maximum extent permitted by law, SupAI and its owners, directors, employees, contractors, affiliates and partners will not be liable for:
- Any indirect, incidental, special, exemplary or consequential damages.
- Loss of profits, revenue, business opportunities, goodwill or anticipated savings.
- Loss or corruption of data, or the cost of recovering or restoring data.
- Any damages relating to your access to, use of, inability to use, or reliance on the Services or on any outputs.
In addition, to the maximum extent permitted by law, the total aggregate liability of SupAI and its owners, directors, employees, contractors, affiliates and partners arising out of or relating to the Services or these Terms will be limited to the greater of:
- The total amount you paid to SupAI for the Services giving rise to the claim during the three months immediately before the event giving rise to the liability; or
- One hundred (100) Swiss Francs (CHF).
These limitations apply whether the claim is based on contract, tort, strict liability or any other legal theory, even if we have been advised of the possibility of such damages and even if a remedy fails its essential purpose.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the exclusions and limitations in this section apply only to the extent permitted by law.
13. Indemnity
To the extent permitted by law, you agree to indemnify, defend and hold harmless SupAI and its owners, directors, employees, contractors, affiliates and partners from and against any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or relating to:
- Your Content or your use of the Services.
- Your breach of these Terms or of any applicable law.
- Your violation of any rights of another person or entity.
14. Suspension and Termination
- We may suspend or terminate your access to some or all of the Services immediately, with or without notice, if we reasonably believe that:
- You have materially breached these Terms or any applicable law.
- Your use poses a security, fraud, abuse or legal risk to us, to other users or to third parties.
- We are required to do so by law, regulation or a competent authority.
- You may stop using the Services and close your account at any time through the dashboard or by contacting support, subject to any plan specific conditions.
- Upon termination, your right to use the Services will end. Certain provisions that by their nature should survive, including ownership provisions, disclaimers, limitations of liability, indemnity and dispute resolution terms, will survive termination.
15. Changes to these Terms
- We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice, for example by email or an in product message.
- Your continued use of the Services after the updated Terms become effective will constitute your acceptance of the changes.
- If you do not agree to the updated Terms, you must stop using the Services.
16. Governing Law and Dispute Resolution
- Unless your local mandatory consumer law requires a different law or venue, these Terms and any dispute or claim arising out of or in connection with them or with the Services are governed by the laws of Mauritius, without regard to conflict of law rules.
- The exclusive place of jurisdiction will be the competent courts of Mauritius, except where applicable law gives you the right to bring claims in another jurisdiction as a consumer.
- Before initiating formal proceedings, both parties will try in good faith to resolve the dispute informally by contacting each other using the details in section 18. If the dispute is not resolved within 30 days, either party may bring a claim in court.
17. Export and Sanctions Compliance
- You must comply with all applicable export control and economic sanctions laws and regulations.
- You represent that you are not located in, and will not use the Services from, any country or territory that is subject to comprehensive sanctions under the laws applicable to SupAI, and that you are not on any government list of prohibited or restricted parties.
- You must not use the Services for any purpose prohibited by applicable export laws, including the development, design or production of weapons or other restricted technologies.
18. Miscellaneous
- These Terms constitute the entire agreement between you and SupAI regarding the Services and supersede any prior or contemporaneous agreements covering the same subject.
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
- You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets or by operation of law.
- No person or entity other than you and SupAI has any rights under these Terms.
